Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, client portals, assessments, reports, resources, and services provided by 7 Seeds Marketing & Business Strategies, LLC (“7 Seeds,” “we,” “us,” or “our”).
By engaging our services, creating or accessing a client portal account, submitting information through our forms or assessments, or otherwise agreeing to these Terms, you acknowledge that you have read, understood, and agree to these Terms.
1. Services
7 Seeds provides marketing and business-related services that may include marketing assessments, market and competitive analysis, brand strategy, digital marketing strategy, enrollment and customer acquisition strategies, business strategy, consulting, coaching, data analysis, implementation support, content development, and other related professional services.
The specific scope, deliverables, timeline, and fees for paid engagements may be established through a separate proposal, statement of work, contract, or other written agreement.
If a separate written agreement conflicts with these Terms, the separate agreement will control for that specific engagement.
2. Participant and Client Information
You agree to provide information that is accurate and complete to the best of your knowledge.
Our assessments, analyses, and recommendations may rely on information you provide as well as information obtained from publicly available sources, third-party platforms, software, analytics tools, or other data sources available at the time services are performed.
7 Seeds is not responsible for inaccuracies, omissions, outdated information, or limitations in information provided by clients, participants, third parties, or external data sources.
3. Marketing Assessments and Recommendations
Marketing assessments, reports, scorecards, analyses, strategies, and recommendations provided by 7 Seeds are intended to support informed business and marketing decision-making.
Recommendations reflect the information and data available at the time of the assessment or engagement and our professional analysis of that information.
Marketing and business performance can be affected by numerous factors outside the control of 7 Seeds. Therefore, we do not guarantee specific results, including increased enrollment, revenue, profitability, leads, website traffic, search rankings, social media performance, customer retention, or other business outcomes.
You remain responsible for determining whether and how recommendations are implemented.
4. No Legal, Financial, Tax, Licensing, or Regulatory Advice
Services and materials provided by 7 Seeds are for business, marketing, strategic planning, and informational purposes.
Nothing provided by 7 Seeds constitutes legal, accounting, financial, investment, tax, licensing, regulatory, or other specialized professional advice.
You should consult an appropriately qualified professional regarding decisions requiring such expertise.
5. Third-Party Sponsored or Funded Services
Certain services may be provided to participants through a contract, grant, partnership, sponsorship, or project administered by another organization.
When services are provided through such an arrangement, 7 Seeds may communicate and coordinate with the sponsoring or contracting organization as reasonably necessary to administer the project and fulfill contractual requirements.
The participant remains responsible for the accuracy of information submitted and for decisions made based on the services or recommendations received.
6. Client Portal and Account Security
Certain services may include access to a secure client portal.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You should not share your password or permit unauthorized individuals to access your account.
You agree to notify 7 Seeds promptly if you believe your account or login credentials have been compromised.
We may suspend or terminate portal access when reasonably necessary to protect account security, business systems, other users, or proprietary information.
7. Electronic Communications
By using our services, you acknowledge that communications related to your engagement may be delivered electronically, including through email, client portals, automated notifications, scheduling systems, or other electronic platforms.
Transactional communications may include appointment confirmations, portal notifications, project updates, assessment instructions, document requests, and other communications necessary to provide services.
Marketing communications will be handled in accordance with applicable law and our Privacy Policy. Where required, recipients will be provided an appropriate method to unsubscribe from promotional communications.
8. Documents and File Uploads
You may be permitted to upload documents, images, reports, business information, or other materials to support the services being provided.
You represent that you have the authority to provide any materials you submit to 7 Seeds.
Please do not upload information that is unnecessary for the requested service, including highly sensitive personal information unless specifically requested and appropriate for the engagement.
9. Confidentiality
7 Seeds will use reasonable care in handling non-public business information provided in connection with our services.
Information may be disclosed when reasonably necessary to perform services, operate supporting technology, comply with contractual obligations, obtain professional assistance, or satisfy legal requirements.
Any additional confidentiality requirements contained in a separate written agreement will also apply.
10. Intellectual Property
Unless otherwise agreed in writing, 7 Seeds retains ownership of its pre-existing and independently developed intellectual property, including its methodologies, frameworks, assessment structures, scoring systems, processes, templates, tools, strategies, training materials, and other proprietary resources.
Clients and participants may use final materials specifically provided to them for their own internal business purposes unless otherwise stated in writing.
Receiving access to a report, assessment, portal, template, or other material does not transfer ownership of the underlying 7 Seeds methodology or intellectual property.
Proprietary materials may not be copied, reproduced, republished, sold, licensed, distributed, modified for commercial redistribution, or used to create substantially similar commercial products or services without prior written authorization from 7 Seeds.
11. Third-Party Services and Technology
7 Seeds may use third-party applications, software platforms, vendors, contractors, analytics tools, scheduling systems, communication platforms, artificial intelligence tools, hosting providers, or other technology to operate the business and provide services.
Use and availability of third-party services may be subject to the respective provider's terms, privacy practices, technical limitations, and service availability.
7 Seeds is not responsible for outages, security incidents, service interruptions, errors, policy changes, or other circumstances caused by third-party providers that are outside our reasonable control.
12. Artificial Intelligence and Technology-Assisted Tools
7 Seeds may use technology-assisted tools, including artificial intelligence, to support administrative functions, research, analysis, content development, workflow management, or other aspects of service delivery.
Professional judgment and available information are used in developing final recommendations and deliverables. Technology-assisted outputs should not be interpreted as independent legal, financial, regulatory, or other specialized professional advice.
13. Fees, Payments, Cancellations, and Refunds
When you purchase services directly from 7 Seeds, applicable fees, payment schedules, cancellation provisions, and refund terms may be specified in your proposal, invoice, service agreement, or other written engagement documentation.
For services funded or sponsored by another organization, payment arrangements between 7 Seeds and that organization do not create an obligation for the participant to pay 7 Seeds unless expressly stated otherwise.
14. Acceptable Use
You agree not to misuse our website, client portal, forms, assessments, systems, or materials.
You may not attempt to gain unauthorized access to our systems or another user's information; interfere with the operation or security of our services; use our services for unlawful purposes; or reproduce or commercially exploit proprietary materials without authorization.
15. Limitation of Liability
To the fullest extent permitted by applicable law, 7 Seeds will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our services, recommendations, website, client portal, third-party services, or materials.
7 Seeds is not responsible for business decisions or actions taken or not taken based on recommendations or information provided through our services.
Any limitations that cannot legally be excluded or restricted will apply only to the extent permitted by applicable law.
16. Indemnification
To the extent permitted by applicable law, you agree to hold harmless and indemnify 7 Seeds Marketing & Business Strategies, LLC and its owner, representatives, contractors, and agents from third-party claims, liabilities, damages, or expenses arising from your unlawful use of our services, your violation of these Terms, materials you provide without proper authorization, or your implementation of business decisions in a manner not directed or controlled by 7 Seeds.
This provision does not require you to indemnify 7 Seeds for liability that cannot lawfully be transferred to you.
17. Termination or Suspension of Access
7 Seeds may suspend or terminate access to its services, systems, or client portal when necessary because of misuse, security concerns, nonpayment where applicable, violation of these Terms, completion or termination of an engagement, or other legitimate business reasons.
Termination of access does not transfer or eliminate intellectual property rights, confidentiality obligations, payment obligations, disclaimers, or other provisions that by their nature should survive termination.
18. Privacy
Information collected through our website, forms, client portal, assessments, and services will be handled in accordance with the 7 Seeds Marketing & Business Strategies Privacy Policy and applicable law.
The Privacy Policy should be reviewed together with these Terms.
19. Changes to These Terms
7 Seeds may update these Terms periodically to reflect changes in our services, technology, business practices, or legal requirements.
When material changes are made, we will provide reasonable notice when appropriate. The updated Terms will identify their effective date.
Where applicable, continued use of the services after updated Terms become effective constitutes acceptance of those Terms.
20. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.
21. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
22. Entire Terms
These Terms, together with our Privacy Policy and any applicable service agreement, proposal, statement of work, or other written agreement, constitute the applicable terms governing use of our services.
